The Lawyer’s Problem

 

All U.S. lawyers in private practice -- especially the 75% who are solo practitioners or work at firms of 20 attorneys or less -- have found themselves needing a form document for an agreement or filing they have never prepared before, or have not done in ages.  Whether it’s a good confidentiality agreement, a notice of motion in New Jersey, or a Delaware multi-member LLC agreement, this problem repeats itself hundreds or thousands of times a day across the million plus lawyers in the United States.

 

 

Finding something free on the Internet is easy enough.  Google “pledge agreement” and some pledge agreements will pop up.  However, even if you find something, it takes a lot of work to make it usable.  A clean PDF requires quite a bit of effort to convert into Word, format away all the little errors and proofread to make sure it’s useable.  A smudged PDF may have the right words in there, but it might take hours for the lawyer or administrative staff to turn it into a useable Word document.  The same goes for HTML files (webpages), which can be cut and pasted in a Word document, but are not automatically formatted like a Word document.

Good forms are out there, but you just need to dig a little, and do some grunt work.  They are on court dockets and www.sec.gov, and, yes, even the Internet.  Documents prepared by Cravath, Debevoise, Goldman Sachs, Apple.  

 

These forms take some work to find, then to convert from PDF or HTML to Word, and format with proper margins, Times New Roman 12 point, and numbered lists.  But this preparation is the low hanging fruit, the great time suck that lawminr helps lawyers avoid.  With lawminr, lawyers can focus less on the ministerial and more on the substantive, saving lawyers valuable time and pleasantly surprising clients when they get the bill.
